Terms and Conditions (AGB)

Klimado GmbH services via impakter.com: Guest Posts, Link Insertions, Press Releases & Financial Content.

§1 Scope of Application and Contracting Party

(1) These Terms and Conditions (“Terms”) govern all agreements relating to guest posts, link insertions, and the publication of press releases (collectively, the “Services”) on impakter.com.

(2) The contracting party and operator of impakter.com is Klimado GmbH (“Impakter,” “we,” or “us”).

(3) These Terms apply exclusively to business customers (entrepreneurs within the meaning of §14 German Civil Code – BGB). Consumers within the meaning of §13 BGB are excluded.

(4) Any conflicting or supplementary terms of the Client shall not apply unless expressly agreed to in writing.

§2 Conclusion of Contract

(1) A binding contract is formed once the Client places an order and completes payment for the selected Service.

(2) By making payment, the Client confirms acceptance of these Terms, including all editorial, compliance, and financial content provisions.

(3) Payment does not guarantee publication and only entitles the Client to editorial and compliance review.

§3 Services and Pricing

(1) The following fees apply:

• Guest Post publication: USD 150
• Link Insertion: USD 120
• Press Release publication: USD 100

(2) Prices are net and exclusive of any applicable taxes.

(3) Full payment is required in advance.

§4 Editorial Independence

(1) Impakter retains full editorial independence.

(2) We reserve the right to accept, reject, edit, revise, delay, or remove content at any time.

(3) Editorial decisions are final and not subject to refund or dispute.

§5 Content Requirements and AI Usage

(1) All content must be original, unpublished, accurate, and free of plagiarism.

(2) AI-generated content may not exceed 15% of the total text.
AI-assisted content must be substantially rewritten and validated by a human author.

(3) Impakter may use AI and plagiarism detection tools.

§6 Prohibited Content (“Grey Content”)

(1) Content or links related directly or indirectly to the following are prohibited:

• Adult or sexually explicit material
• Gambling, betting, or casino services
• Firearms, weapons, or ammunition
• Dating, escorting, or matchmaking services

(2) Attempts to disguise prohibited content constitute a material breach.

§7 Link Insertions

(1) Links must be editorially relevant and provide genuine informational value.

(2) Impakter may label links as nofollow, sponsored, or similar.

(3) Affiliate, referral, misleading, or low-quality links may be rejected or removed without refund.

§8 Press Releases

(1) Press releases must be factual, transparent, and clearly distinguish editorial content from advertising.

(2) Commercial intent must be disclosed.

(3) Misleading or unverifiable claims result in rejection or removal.

§9 Financial Content, Due Diligence, and Regulatory Sensitivity

(1) Financial content includes, but is not limited to:

• Cryptocurrencies, tokens, blockchain or DeFi projects
• Forex, CFD, or derivatives trading
• Lending, credit, yield, or financing products
• Investment platforms or financial services

(2) The Client warrants that all promoted entities and services are lawful, accurate, and not misleading.

(3) Impakter conducts journalistic and reputational due diligence but does not provide regulatory approval, certification, or endorsement.

(4) Impakter may require documentation including:

• Company registration and ownership
• Regulatory or licensing status
• Jurisdictional disclosures and risk statements

(5) Publication does not imply compliance with BaFin or any other regulator and does not constitute investment advice or solicitation.

(6) Impakter may reject or remove financial content that poses legal, regulatory, or reputational risk.

§10 Mandatory Financial Risk Disclaimer

(1) All financial content must include the following disclaimer, clearly visible within the article:

§11 Breach, Rectification, and Cure Period

(1) If content breaches these Terms, the Client will be notified.

(2) The Client has five (5) working days from notification to submit a compliant revision or replacement.

(3) Failure to fully remedy the breach results in final rejection or removal.

§12 Forfeiture of Fees and Refund Policy

(1) All payments are non-refundable once review has commenced.

(2) Failure to remedy a breach within the cure period results in full forfeiture of fees.

(3) No refunds are granted for post-publication removals due to compliance or risk concerns.

§13 Liability and Indemnification

(1) The Client represents that it holds all rights to submitted content.

(2) The Client shall indemnify and hold harmless Klimado GmbH and impakter.com from all third-party claims arising from publication.

§14 No Performance or SEO Guarantees

Impakter provides no guarantees regarding rankings, traffic, backlinks, conversions, or financial outcomes.

§15 Governing Law and Jurisdiction

(1) These Terms are governed by the laws of the Federal Republic of Germany.

(2) Exclusive jurisdiction, where permissible, is the registered seat of Klimado GmbH.
